Mobile Studio/Album Release

1. Description of Services
SMS Novel Films (“we,” “us,” or “our”) operates a Mobile Music Studio service (“Service”) that offers on-site recording sessions, music production, and optional video creation. By booking or using our Service, you (“Client,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”).

2. Package Inclusions

• Base Package Fee: $199 (“Base Fee”) includes:
  • One (1) two-hour recording session.
  • Eight (8) pre-written songs and beats.
  • Basic mixing and mastering of the recorded track(s).
  • Distribution to iTunes, Spotify, Google Play, Amazon, and YouTube Music (“Streaming Platforms”) if the Streaming Platforms Publishing Fee (see Section 3) is paid. Streaming terms are for one year only, and can be renewed annually for $199.99.
• Streaming royalty payouts are made monthly.

• Music Video (Optional): On-site music video creation is an additional $49 fee.
• Publishing Timeline: Once all fees and required information are submitted, we aim to distribute your song(s) to the specified Streaming Platforms within seven (7) business days. However, we do not guarantee exact publication times, as each platform may have its own review and release schedules.

3. Additional & Optional Fees

• Streaming Platforms Publishing Fee:
  • An additional fee may be required for publication to each Streaming Platform. The total additional fee and breakdown will be provided upon booking.
  • Payment of this fee covers the administrative costs for uploading and managing your music on the Streaming Platforms.​​​​​​

• • On-Site Music Video Fee: $49 (optional).

• Website Sales (SMS Novel Films Website): Upon approval of your music, you may opt to sell your album via our website and receive a daily payout of $5 per album sale. This is contingent upon your music meeting our quality and content guidelines and requires an additional distribution agreement that will be provided at the time of booking.

4. Payment Terms

• Payment must be made in full 7 days before the day of the recording session unless otherwise agreed in writing.
• Base Fee and any additional fees (e.g., Streaming Platforms Publishing Fee, on-site video fee) are non-refundable once services have been rendered.
• Failure to pay in a timely manner may result in cancellation or postponement of services.

5. Ownership & Licensing

• You retain the rights to your original vocal performance.
• We provide eight (8) pre-written songs and beats for your use. Ownership and licensing of these beats remain with SMS Novel Films or its licensors. You may only use these materials in conjunction with the recording and distributions arranged through our Service.
• For music distribution through Streaming Platforms or our website, you grant us a non-exclusive license to distribute, promote, and monetize your recorded content. This license is valid for the duration specified in your distribution agreement or until terminated in accordance with these Terms.

6. Publishing & Earnings

• Streaming Platforms: If you opt to publish on iTunes, Spotify, Google Play, Amazon, YouTube Music, or any other platform, you will receive monthly or quarterly royalties directly from the respective platform or our designated distribution service, subject to the platform’s or distributor’s payment policies.

• Website Sales (SMS Novel Films Website):
  • You may earn $5 per daily album sale of your approved music.
  • Payout schedules and minimum thresholds for withdrawal are governed by additional agreements provided at the time of publishing on our site.

• We are not responsible for any delays or changes in payout schedules once the content has been submitted to the Streaming Platforms or our website.

7. Cancellation & Rescheduling

• You may cancel or reschedule your session up to 48 hours before your scheduled session without penalty.
• Cancellations made less than 48 hours before the scheduled session may incur a cancellation fee up to 50% of the Base Fee.

8. Content Policy

• We reserve the right to refuse or terminate service if the content you intend to record is unlawful, hateful, or in violation of any third-party rights.
• You confirm that any lyrics, melodies, or performances you provide or create do not infringe upon any copyright, trademark, or proprietary rights of any individual or entity.

9. Limitation of Liability

• Our maximum liability for any claim related to our Service is limited to the total fees paid by you for the specific service(s) giving rise to the claim.
• We are not liable for any consequential, indirect, or special damages (including lost profits) arising from or related to your use of our Service.

10. Indemnification
You agree to indemnify, defend, and hold us harmless from any claims, liabilities, damages, losses, or expenses (including attorney fees) arising out of or in connection with your breach of these Terms or violation of any applicable laws.

11. Modifications to the Terms
We reserve the right to update or modify these Terms at any time. Any changes will be effective immediately upon posting. Your continued use of our Service after such modifications indicates your acceptance of the revised Terms.

12. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which SMS Novel Films operates. Any disputes shall be resolved through negotiation in good faith; if unresolved, they may be settled by the courts of that jurisdiction.
