Terms of Agreement - Live-Stream TV Pilot Program
This agreement ("Agreement") is entered into between the pilot ("Pilot") and SMS Novel, Inc. ("SMS Novel") for the participation in the live-stream TV pilot program.
1. Eligibility:
a. Pilot must have successfully passed the recreational remote license exam. The exam is free.
b. Pilot must complete one training class with SMS Novel.2. Compensation:
a. Pilot will be offered paid rates for flying in live-stream TV broadcasts.
b. The pay rates are as follows:
i. $5 per 30-minute live stream for each of the USA's largest 25 major cities.
ii. $3 per 30-minute flight for all other cities.
c. Remote opportunities will be offered weekly, and the Pilot has the option to accept or reject each opportunity.3. Payment Terms:
a. Payment will be processed on the same day as the live-stream.
b. Payments will be made electronically to the provided account.4. Pilot's Responsibilities:
a. Pilot agrees to be available for scheduled live-stream flights.
b. Pilot must adhere to all safety guidelines and regulations during flights.
c. Pilot agrees to maintain the required licenses and certifications.5. Remote Opportunities:
a. SMS Novel will provide details of remote opportunities, and Pilot can choose to accept or reject each opportunity.
b. Rejection of opportunities will not impact future opportunities.6. Confidentiality:
a. Pilot agrees to keep all confidential information related to SMS Novel and its operations confidential. Pilot is listed as 1099 contract worker and is responsible for maintaining any necessary permits or insurance for drone.7. Termination:
a. Either party may terminate this Agreement with written notice.
b. Termination does not affect completed live-stream flights, and payment will be made for completed services.8. Governing Law:
a. This Agreement shall be governed by and construed in accordance with the laws of Maryland.9. Miscellaneous:
a. This Agreement constitutes the entire understanding between the parties.
b. Amendments must be in writing and agreed upon by both parties.
